Terms of Service

These terms govern your use of www.kudzuseeds.com and any enquiry you make through it. By using the site you accept them. If you do not accept them, please do not use the site.

1. What this website is

This site is an information and enquiry channel. It is not an online shop. We do not display prices, we do not take payment through this website, and nothing on it is an offer capable of acceptance.

Product pages, guides and calculators are published to help you decide what to ask us for. Supply is wholesale and by quotation.

2. Quotations and orders

• A quotation is an invitation for you to place an order. It is not a binding contract until we confirm your order in writing.
• Quotations are valid for the period stated on them. Where no period is stated, treat the quotation as indicative and ask us to confirm before relying on it.
• Prices depend on species or product, quantity, destination and delivery timing, and are subject to availability at the time of confirmation.
• Seed availability is seasonal. We will tell you honestly if a species or quantity cannot be supplied in your timeframe.
• Payment terms, currency, delivery terms and lead time are those stated in the accepted quotation or proforma invoice.

3. Product information and agronomic guidance

We take care to keep product specifications, application rates and species information accurate and current. Even so:

• Application and seeding rates published on this site are starting points, to be read against your own soil test and local conditions. They are not site-specific recommendations.
• Agronomic guidance we give, whether on this site, by email or by phone, is offered in good faith based on the information you give us. It does not replace advice from an agronomist who has seen your site.
• You are responsible for satisfying yourself that a product is suitable for your soil, crop, climate and management system before committing to it at scale. We encourage a trial quantity first, and will supply one.

4. Seed and product performance

• Seed lots are germination-tested before dispatch and a certificate of analysis is available on request. The certificate reports the result for that lot at the time of testing.
• We do not guarantee a germination rate in the field, a rate of establishment, a yield, or any other agronomic or financial outcome. Field results depend on soil, weather, timing, land preparation, pest pressure and management, none of which are within our control.
• Seed is a living product. Once it leaves our custody, storage and handling conditions materially affect viability. Store as advised and sow within the period indicated.

5. Import, registration and regulatory compliance

• For export orders, obtaining any import permit, product registration or clearance required in the destination country is the buyer's responsibility.
• We supply export documentation for the shipment, including phytosanitary certification issued by the Philippine Bureau of Plant Industry where applicable, and certificates of analysis.
• Product registration status differs by market. Where a product is not registered in your country, it is your responsibility to confirm what is permitted before importing. Tell us the route you intend to use and we will match our documentation to it.

6. Delivery, title and risk

Delivery terms, including the applicable Incoterm for export shipments, are those stated in the accepted quotation. Unless the quotation says otherwise, risk passes on delivery in accordance with that Incoterm, and title passes on receipt of payment in full. Delivery dates are estimates given in good faith and are not guaranteed.

7. Claims and returns

Inspect goods on arrival. Claims for shortage, visible damage or apparent defect must be raised promptly and, in any case, before the product is sown or applied, with photographs and the lot number. We will investigate and, where a claim is upheld, replace the goods or credit them.

Seed and soil products that have been opened, sown, applied or stored outside recommended conditions cannot be returned. Nothing in this section limits rights you have under Philippine law that cannot be excluded by agreement.

8. Acceptable use of the site

Please do not use this site to break the law, misrepresent who you are, scrape or bulk-copy content, interfere with the site's operation, attempt unauthorised access, or submit false enquiry details.

9. Intellectual property

The content of this site, including text, guides, calculators, photographs, layout and the Kudzu Seeds Trading name and logo, belongs to us or our licensors. You may read it, print it and share links to it for your own business use. You may not republish it as your own, or use it commercially, without our written permission.

SoilBoost EA is a proprietary product manufactured exclusively for Chemiseed Sdn. Bhd. and Kudzu Seeds Trading.

10. Third-party links

We link to research papers, government agencies and other external resources where they are useful. We do not control those sites and are not responsible for their content or availability.

11. Limitation of liability

To the fullest extent permitted by Philippine law, our liability arising out of or in connection with any supply is limited to the price paid for the goods giving rise to the claim, and we are not liable for indirect or consequential loss, including loss of profit, loss of crop, or loss of production.

Nothing in these terms excludes or limits liability for fraud, for death or personal injury caused by negligence, or for any liability that cannot lawfully be excluded.

12. Electronic communications

Quotations, order confirmations and related documents may be issued and accepted electronically. Under the Electronic Commerce Act of 2000 (Republic Act No. 8792), electronic documents and signatures have legal effect, and you agree that our electronic records are admissible evidence of what was agreed.

13. Governing law

These terms are governed by the laws of the Republic of the Philippines. The courts of Davao City have jurisdiction, without prejudice to any right we have to bring proceedings where a buyer is located in order to enforce a judgment.

14. Changes to these terms

We may revise these terms. The effective date above shows the last revision. The terms that apply to an order are those in force when we confirm it.
